Professional Experience:
Duncan was awarded an Bachelor of Laws (Hons) by the University of Dar es Salaam in 1996. He was admitted to the Tanzanian Bar to practice as an advocate of the High Court of Tanzania, Commissioner for Oaths and Notary public in 2000.
Duncan started his career at FK Law Chambers as Legal Officer from 1997 to 1999. He served as assistant to counsels on both litigation and non-litigation assignments, such as maintenance of a close relationship with clients; assisting in the preparation of legal documents; facilitating formation and restructuring of companies; assisting existing companies with corporate, licencing and tax compliance matters; and also acted as company secretary for a number of companies. Duncan rose to the post of Associate in 2000. In 2002 he became a Partner before joining the rank of Senior Partner in 2008.
Currently Duncan heads the corporate, banking and transaction portfolio. He handles most of the court matters and non-litigation assignments in commercial and corporate law and still serves as company secretary for a number of private and public companies.
Duncan represents commercial banks and financial institutions, and their customers, in a number of high profile transactions in contentious and non-contentious matters alike. He has advised and represented Standard Chartered Bank Tanzania Limited in a number of court cases instituted by or against the Bank, including two cases instituted by National Oil Tanzania Limited and Exim Bank Tanzania Limited (as Plaintiffs) against Standard Chartered Bank Tanzania Limited and NBC Bank Limited
Duncan has acted as Lead Counsel for Kagera Sugar Limited and its holding company, Super Group of Companies Limited, in a court case instituted by Kagera Sugar Limited against a syndicate of Tanzanian banks and financial institutions in respect of repayment of US $ 65 million loan. He successfully led and advised Kagera Sugar Limited in conducting negotiations for an out of court settlement and repayment of the loan.
As for bank customers, Duncan has acted as a transaction lawyer for GH Group (Pty) Limited (of Botswana) in negotiating a loan of US $ 40 million for its Mlimani City Project in Tanzania, owned and operated by Mlimani Holdings Limited and, together with Collins Newman & Co, a leading law firm in Botswana, acted for Barclays Bank Botswana in drawing and perfecting bank documents in respect of the Project.
Duncan has also acted as a lead counsel for Kagera Sugar Limited and its holding company, Super Group of Companies Limited, in negotiating a US$ 65 million loan and financial facility granted to Kagera Sugar Limited by a syndicate of lenders comprising of four commercial banks and three financial institutions and guaranteed by the Government of Tanzania acting through the Bank of Tanzania and the Ministry of Finance. Mr Duncan negotiated the loan, drafted/reviewed the loan and facility agreement and the Security Documents; drafted the Project management Agreement; reviewed the Government Guarantee documents and administered their duly execution by Kagera Sugar Limited.
Duncan helps both local and international companies invest and acquire interests in Tanzania’s rich mining sector. For example, he has advised Sloane Developments Limited, an Irish Company, in its acquisition of various mining interests in Tanzania. Duncan has also advised Investment Group ALROSA, and investment arm of ALROSA Group, a Russian corporation boasting to be the world’s second biggest diamond producer (second to De Beers), in respect of its several mining interests in Tanzania. He has also acted for Simba Goldfields Limited, a BVI company, in its acquisition of two Tanzanian mining exploration companies and advised Sun Minerals and Metals Limited in its acquisition of Simba Goldfields Limited.
Duncan has also acted as a transaction lawyer for Premium Holdings Limited, a Malaysian Company in its US 1.6 million acquisition of Kagera Fish Company Limited, as legal advisor on corporate issues for Kagera Fish Company Limited, as transaction lawyer and corporate advisor to Hellafric SA, a Greece corporation on the transfer of its interest in Kagera Fish Company Limited, as legal adviser to Capilano Industries (Pty) Limited a South African company in its acquisition of Managed Mobile Health Clinics Limited, a Tanzanian company dealing with the provision of mobile health clinics and facilities installed in special vans and buses created by Capilano Industries (Pty) Limited, as legal Adviser to Bora Industries Limited, a manufacturer of rubber and shoe products on the sale of interest to an Indonesian businessman, and as legal Adviser to willing shareholders of Vegetable Oil Industries Limited, (which includes 4 companies; 2 cooperative unions and over 12 individuals), in their negotiations for transfer of their shares to a Ugandan businessman
In the telecommunications industry, Duncan led a team of MIC Tanzania Limited, a wholly owned subsidiary of Millicom International Cellular S.A. of Luxembourg and the first cellular telephone service provider in Tanzania, in the negotiations with the Tanzania Communications Regulatory Authority for better terms in respect of their migration from the current licencing regime (GSM) to new converged licencing framework.
